Terms and Conditions of Use of the Service “Member Registry” of the Cyprus Public Audit Oversight Board («CyPAOB»)

1. Introduction
These Terms and Conditions (hereinafter the “Terms”) govern the use of the electronic Software service as a Service (SaaS) «Member Registry» provided by the Cyprus Public Audit Oversight Board (“CyPAOB” or “the Authority”).
By accessing, registering for, or using the Service and the application, the User expressly declares that they have read, fully understood, and agree to be bound by these Terms, as well as any amendments thereto.
2. Account Creation
2.1. The right to create an account is granted exclusively to natural or legal persons connected with the responsibilities of CyPAOB, such as statutory auditors, audit firms, approved audit firms or other relevant bodies, in accordance with the Auditors Law of 2017 (53(Ι)/2017, as amended from time to time).
2.2. The creation of an account using false, inaccurate, or misleading information, as well as use for fraudulent, illegal, or unauthorized activities, is prohibited. In the event of a breach, CyPAOB reserves the right to immediately suspend, terminate, or delete the account without prior notice.
3. Usage Rights
3.1. The User is granted a non-exclusive, limited, personal, non-transferable, and non-sublicensable right to access and use the Service solely for lawful purposes related to the procedures, obligations, and responsibilities of CyPAOB.
3.2. The following are expressly prohibited:
- Copying, reproducing, modifying, adapting, or translating
- reselling, commercially exploiting, or making the Service and the databases contained therein available to third parties.
In relation to the software:
- Unauthorized access to the Application, servers, databases, or related information systems.
- Circumventing, disabling, or interfering with security mechanisms, access controls, or usage restrictions of the Application.
- Conducting vulnerability tests, security assessments, port scanning, penetration testing attacks, or other security evaluation techniques without the Authority’s prior written consent.
- Use of automated means, data extraction software (scraping), bots, or other mass data collection techniques beyond the functions expressly provided through the Application.
- Introduction of malicious software, viruses, scripts, or other harmful content, as well as any alteration, interference, or overloading of the Application’s operation.
- Disassembly, reverse engineering, copying, or modification of the software, unless expressly permitted by the applicable law.
- Use of the Application in any manner that violates applicable legislation or the rights of third parties.
4. User Obligations
The user is required to:
- Use the Service exclusively for the purposes defined by CyPAOB and in accordance with applicable legislation.
- Keep access credentials (username, password, etc.) confidential and secure and not disclose them to third parties.
- Immediately inform CyPAOB in the event of suspected or actual unauthorized access to or use of their account.
- Refrain from actions that may negatively affect the operation, security, integrity, or availability of the Service (e.g., introduction of viruses, system overloading).
- Maintain all contact and registration details (email, telephone, address, etc.) accurate and up to date and promptly inform CyPAOB of any changes.
4.1 Data Submission
The User guarantees the accuracy, completeness, legality, and timeliness of the data submitted through the Service. CyPAOB reserves the right to verify, correct, reject, or delete submissions deemed inaccurate, incomplete, or unlawful.
5. Limitation of Liability
5.1. The Service is provided “as is” and “as available.” CyPAOB and its contracted providers or partners make reasonable efforts to ensure its proper operation but do not guarantee uninterrupted, error-free, or fully secure operation, nor do they accept liability for technical failures, delays, interruptions, data loss, or damages arising from the use or inability to use the Service.
5.2. CyPAOB and its contracted providers or partners shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Service, from misuse, from inaccurate or false information, or from events beyond their reasonable control.
6. Intellectual Property
All intellectual, industrial, and proprietary rights in the Service (software, content, design, databases, etc.) belong to CyPAOB or its lawful licensors. Use of the Service does not imply the grant of any rights other than those expressly provided.
7. Protection of Personal Data
The processing of personal data is governed by CyPAOB’s Personal Data Protection Policy (available on the website cypaob.gov.cy), which forms an integral part of these Terms and complies with the General Data Protection Regulation (EU) 2016/679.
8. Termination of Access
CyPAOB reserves the right to suspend, restrict, or permanently terminate any User’s access, without notice, in the event of breach of the Terms, unauthorized use, or risk to the security or integrity of the Service.
9. Terms Amendments
CyPAOB may amend the Terms at any time. Amendments are posted within the Service and/or on CyPAOB’s website and take effect upon publication. Continued use after publication constitutes acceptance of the amendments.
10. Compliance with Legislation
Use of the Service is also subject to the provisions of the Auditors Law of 2017 (53(I)/2017, as amended), the GDPR, and any other applicable legislation relating to the audit profession and its oversight.
11. Governing Law and Jurisdiction
These Terms are governed exclusively by the laws of the Republic of Cyprus. The Courts of Nicosia shall have jurisdiction over any dispute.
